Benefit Systems S.A. announces its intention to merge with another company in accordance with the requirements of the Commercial Companies Code.
Pursuant to Art. 504 § 1 and 2 of the Commercial Companies Code, the management boards of the merging companies are required to notify the shareholders twice, in the manner provided for convening shareholders' meetings or general meetings, of the intention to merge with another company. The first notice should be given no later than one month before the planned date of adopting the resolution on the merger, and the second no less than two weeks after the date of the first notice.
