Notification of major shareholding

The Management Board of Benefit Systems S.A. with its registered seat in Warsaw (hereinafter, the "Company", "Benefit Systems") hereby announces that on 2 December 2020 they received from James van Bergh ("Notifying Party"), acting on his own behalf, Benefit Invest Limited with its registered seat in Dublin ("Benefit Invest") and Fundacja Drzewo i Jutro with its registered seat in Warsaw ("Foundation"), (hereinafter collectively referred to as the "Agreement") notification pursuant to Art. 69 sec. 2 point 2) in connection with art. 87 sec. 1 point 5) and sec. 3 of the Act of July 29, 2005 on public offering and conditions for introducing financial instruments to an organized trading system and on public companies (i.e. Journal of Laws of 2020, item 2080) (the "Act on Public Offering") about a change of at least 1% of the total number of votes in the Company held by the Agreement in relation to the state indicated in the last notification submitted by the Notifying Party pursuant to the Act on Public Offering, i.e. in the notification of January 8, 2020.

The decrease in the involvement of the Agreement in the total number of votes in the Company resulted from the sale by the Notifying Party on December 1, 2020 of 10,000 shares of the Company on the regulated market of the WSE at the price of PLN 720 per share ("Transaction").

As at November 30, 2020, i.e. before the Transaction, the Agreement held 1,077,244 shares of the Company, representing 37.22% of the share capital of the Company, entitling to 1,077,244 votes at the General Meetings of Benefit Systems, representing 37.22% of the total number of votes in the Company.

After the Transaction, the Agreement holds 1,067,244 shares of the Company representing 36.87% of the share capital of the Company, entitling to 1,067,244 votes at the General Meetings of Benefit Systems, representing 36.87% of the total number of votes in the Company.

Additionally, the Notifying Party informed that:

1. there are no subsidiaries of the Foundation, Benefit Invest and the Notifying Party (within the meaning of Article 4 Item 15) of the Act on Public Offering), that hold the shares in the Company;

2. in relation to the Foundation, Benefit Invest and the Notifying Party there are no persons referred to in Article 87 Sec. 1 Item 3_ letter c) of Act on Public Offering, and

3. the Foundation, Benefit Invest and the Notifying Party are not entitled to votes from the shares of the Company as referred to in Article 69 Sec. 4 Items 7) - 9) of the Act on Public Offering, other than as indicated above.
