Conclusion of annexes to a credit agreement and conclusion of a guarantee agreement with Santander Bank Polska S.A.

In reference to Current Report of 18 July, 2012, the Management Board of Benefit Systems S.A. with its registered seat in Warsaw hereinafter, the "Company", hereby announces that on 27 May 2020 the Company signed an annex to an agreement of 18 July 2012 for multi-purpose and multi-currency credit facility line with Santander Bank Polska S.A. with its registered seat in Wrocław hereinafter, the "Bank" and an annex to an agreement of 2 April, 2012, for bank guarantee limit. In addition, on 27 May 2020, the Company concluded a guarantee agreement with the Bank for up to PLN 5,000,000.00 with an availability period of 31 May 2021.

The subject-matter of the annexes consists in a change in the availability period which has been extended until 31 May, 2020. Bank guarantee limit stands at PLN 60,000,000.00.

The collateral of the Bank's claims under the above-mentioned agreements is, inter alia, the Company's obligation to provide a statement on submission to court enforcement procedure conducted pursuant to Article 777 §1 Item 5 of the Code of Civil Procedure, with the content as agreed with the Bank, and, in relation to the multi-purpose and multi-currency credit facility, a blank bill of exchange with a promissory note declaration.

There are no links of any kind either between the Company and the Bank or between the individuals managing or supervising the Company and the Bank.
